You represent and warrant that you own or have all necessary rights to submit such User Content and that it does not infringe any third-party intellectual property rights or violate any applicable law.

8. Disclaimers and "As-Is" Basis

These Terms of Service shall be governed by, construed, and enforced in accordance with the laws of the United States of America and the applicable state laws of the state in which the relevant Pequod's Pizza location is situated or, where applicable, the state in which the online transaction was processed, without giving effect to any choice-of-law or conflict-of-law rules that would cause the application of the laws of any other jurisdiction.

Where not subject to binding arbitration pursuant to Section 14 below, you agree that any legal action, suit, or proceeding arising out of or related to these Terms or your use of the Site shall be brought exclusively in the federal or state courts of competent jurisdiction located within the United States, and you hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

These Terms are subject to applicable federal laws and regulations, including the Federal Trade Commission Act (15 U.S.C. § 45), which prohibits unfair or deceptive acts or practices in or affecting commerce, and any other applicable federal consumer protection statutes enforced by the Federal Trade Commission (FTC).

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (each, a "Dispute") informally by contacting Pequod's Pizza at [email protected] and describing the nature of your Dispute in reasonable detail. We will attempt to resolve the Dispute informally within thirty (30) days of receipt of your notice. If informal resolution is unsuccessful within that period, either party may proceed to binding arbitration as set forth below.

14.2 Binding Arbitration

Except as expressly provided in Section 14.4 below, you and Pequod's Pizza agree that any Dispute that cannot be resolved informally shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in English and shall take place in the United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

14.4 Exceptions to Arbitration

Notwithstanding the foregoing arbitration agreement, either party may seek relief in a court of competent jurisdiction for: (a) claims related to the infringement or misappropriation of intellectual property rights; (b) claims for emergency injunctive or other equitable relief to prevent imminent harm; or (c) claims that applicable law expressly requires to be resolved in court.

14.5 Arbitration Costs

Payment of all filing, administration, and arbitrator fees will be governed by the AAA's Consumer Arbitration Rules. If you are unable to afford the applicable arbitration fees and your claim is not frivolous under applicable law, Pequod's Pizza will consider requests to cover such fees on a case-by-case basis.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or maintain an account with us. We reserve the right, in our sole discretion and without notice or liability, to:

• Suspend, restrict, or terminate your access to the Site or any portion thereof at any time for any reason, including without limitation for violations of these Terms;
• Discontinue, modify, or restrict any aspect of the Site or the services offered therein at any time without notice;
• Remove or disable any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

Upon termination of your access to the Site, all licenses granted to you under these Terms shall immediately terminate, and you must cease all use of the Site and any associated Content. Sections of these Terms that by their nature should survive termination, including but not limited to Sections 7, 8, 9, 10, 13, 14, 15, 16, and 17, shall survive any termination or expiration of these Terms.

Pequod's Pizza reserves the right to revise, amend, or update these Terms of Service at any time at our sole discretion. When we make changes to these Terms, we will update the "Last Updated" date at the top of this page. In the event of material changes to these Terms, we will make reasonable efforts to provide notice, which may include posting a prominent notice on the Site, sending an email to the address associated with your account, or other means of communication.

Your continued access to or use of the Site after the effective date of any revised Terms constitutes your binding acceptance of such changes. If you do not agree to the revised Terms, you must immediately cease your use of the Site and, if applicable, close your account. 17. Severability

If any provision of these Terms of Service is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or contrary to applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or, if modification is not possible, shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, all of which shall remain in full force and effect to the fullest extent permitted by applicable law.

18. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by Pequod's Pizza on the Site, constitute the entire agreement between you and Pequod's Pizza with respect to your use of the Site and supersede all prior or contemporaneous agreements, representations, warranties, understandings, and communications between the parties, whether written or oral, relating to the subject matter hereof.

No waiver by Pequod's Pizza of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. Any failure by Pequod's Pizza to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver shall only be effective if it is in writing and signed by an authorized representative of Pequod's Pizza.

19. Force Majeure

Pequod's Pizza shall not be liable to you for any failure or delay in the performance of our obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, fire, flood, earthquake, governmental actions, civil unrest, war, terrorism, strikes or labor disputes, power outages, internet or telecommunications disruptions, or the actions or omissions of third-party service providers. In any such event, our obligations will be suspended for the duration of the force majeure event, and we will make commercially reasonable efforts to resume normal operations as quickly as practicable.

20. Electronic Communications Consent

By using the Site and providing your email address or mobile phone number, you consent to receive electronic communications from Pequod's Pizza, including order confirmations, receipts, account notices, and promotional offers where you have opted in to receive such communications. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Please note that opting out of promotional communications will not affect your receipt of transactional communications related to your orders or account.
